Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of EdHelfy ("service", "platform"), operated at edhelfy.com. By creating an account or using the service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. The Service

EdHelfy is a web-based school and institution management platform. It helps schools manage students, attendance, fees, academics, timetables, inventory, and related administrative records. The service is provided on a subscription basis and may include optional AI-assisted features.

3. Eligibility

• You must be at least 18 years old and legally authorised to represent the educational institution using the service.
• EdHelfy is intended for use by registered schools, institutions, tutoring centres, or similar educational entities. It is not intended for individual student use.
• The admin user who signs up is responsible for ensuring the educational institution has the legal right to enter student and staff data on the platform.

4. Accounts & Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at support@edhelfy.com if you suspect unauthorised access.
• If you lose your password, encrypted local data on your device may become unrecoverable — cloud data remains accessible after password reset.

5. Acceptable Use

You agree not to:

• Use the service for anything other than legitimate educational institution administration.
• Enter false, misleading, or unlawful content (including fake student records, fraudulent fee entries, or defamatory remarks).
• Attempt to reverse-engineer, decompile, scrape, or probe the service for vulnerabilities outside of a responsible-disclosure context.
• Resell, sublicense, or white-label the service without a written agreement with us.
• Use the service to send spam, unsolicited marketing, or harassing communications.
• Upload content that infringes anyone's intellectual property, privacy, or other rights.
• Attempt to circumvent rate limits, usage caps, or access controls.

6. Your Content & Data Ownership

• You own your data. All school, student, staff, and operational data you enter remains owned by your educational institution.
• You grant EdHelfy a limited, worldwide, royalty-free licence to store, transmit, process, and display your data solely for the purpose of operating the service on your behalf.
• You can export all your data at any time via Settings → Data & Backup.

7. Fees & Billing

• Paid plans are billed monthly or annually as selected at checkout.
• Fees are displayed in Indian Rupees (INR) or another applicable currency at time of purchase; applicable taxes (GST etc.) may be added.
• Subscriptions renew automatically unless cancelled before the next billing cycle.
• Failure to pay may result in suspension or termination of service. Your data will remain retrievable per our retention policy.

8. AI Features

• AI chat and action features are optional and may be subject to usage limits or fair-use caps.
• AI output is generated by third-party models (Google Gemini, Anthropic, OpenAI, or as configured). It may contain inaccuracies; you are responsible for verifying AI-generated actions before committing changes.
• Destructive AI actions are undoable via the in-app undo stack; we nonetheless recommend reviewing confirmation cards before approving actions.
• If you supply your own AI API key, your usage of that key is governed by the provider's terms.

9. Intellectual Property

• EdHelfy's software, design, trademarks, and documentation are owned by us (or our licensors) and protected by applicable IP laws.
• These Terms do not grant you any right, title, or interest in the service beyond the limited right to use it as provided.
• Feedback, suggestions, or feature requests you send us may be used without obligation or compensation.

10. Third-Party Services

The service integrates with third-party providers for database hosting, website delivery, transactional email, payment processing, AI features, and WhatsApp messaging. Your use of those integrations is governed by their respective terms. We are not responsible for third-party outages, changes, or policy updates that affect the service. A current list of sub-processors is available on request.

11. Service Availability & Modifications

• We aim for high availability but do not guarantee uninterrupted service.
• Scheduled maintenance and unscheduled outages may occur. We will use reasonable effort to communicate planned downtime.
• We may add, change, or remove features at any time. Material changes affecting core functionality will be communicated with reasonable notice.
• The service is offered as-is and offline-first — local data may not always be in sync with the cloud.

13. Limitation of Liability

To the maximum extent permitted by law:

• EdHelfy shall not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits, lost data, or business interruption), even if advised of the possibility.
• EdHelfy's total aggregate liability for any claim arising out of or relating to the service shall not exceed the total fees paid by you to EdHelfy in the 12 months preceding the claim, or INR 10,000, whichever is greater.
• Nothing in these Terms excludes liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless EdHelfy and its personnel from any claims, damages, losses, or expenses arising out of (a) your misuse of the service, (b) your violation of these Terms, (c) content you upload, or (d) any dispute between you and a third party related to your use of the service.

15. Termination

• You may close your account at any time via Settings → Account → Delete Account.
• We may suspend or terminate your account, with or without notice, if you materially violate these Terms.
• Upon termination, your data will be deleted per the retention schedule in our Privacy Policy.
• Clauses that by their nature survive termination (IP, disclaimers, liability limits, governing law) will survive.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the competent courts in India.

17. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above will reflect any changes. For material changes, we will notify you via email or in-app notice. Continued use of the service after the effective date of an update constitutes acceptance of the revised Terms.
